Company Responsibility

Model 231

Legislative Decree 231 of 8 June, 2001 (hereinafter "Legislative Decree 231/2001"), introduced rules and regulations concerning the administrative responsibility of companies.

These rules and regulations state that companies can be held responsible, and consequently subject to fines, for any offences committed or any attempts to commit offences in the interests or to the advantage of the company itself by the company's directors or employees.

Companies can, therefore, adopt organizational, management and control Models designed to prevent these offences ("Model").

In its meeting of June 20th, 2005, the Board of Directors of Mariconsult S.p.A. approved the "Organizational, management and control model" in accordance with Legislative Decree 231/2001 (Regulations concerning the administrative responsibility of legal persons - companies - companies and associations with or without legal persons, as per article 11 of Law 300 of 29 September 2000).

The Model has been updated in order to extend it to the new types of crimes, added within the time, pursuant to administrative liability of companies; until the new version adopted with the Board of Directors Resolution on March 9, 2023.

The "Model 231" is made up of an organic set of principles, rules and dispositions to realize and manage a control and monitoring system on sensitive activities to prevent the commission of crimes foreseen by LD 231/2001.

Code of Ethics

A Company document which defines the set of recognised and interiorised standards of the company and the resulting framework of principles and regulations which all who work to achieve the corporate objectives must adhere to.

The Code of Ethics likewise indicates to the company the set of its "social responsibilities" with regards to the main categories of "stakeholders", inside and outside the Company itself.

Mariconsult takes as a benchmark for their employees and for those who work for the achievement of corporate goals the "Code of Ethics", which contains the rules of conduct to be observed in the activities and relationships with third parties.

The board of Directors of Mariconsult S.p.A. appointed as Guarantor of Code of Ethics the “Organismo di Vigilanza”.
